Terms of Service

1. Parties and Definitions
These Terms of Service (“Terms”) form a binding agreement between Develemit LLC, doing business as MartialOps (“MartialOps,” “we,” “us,” or “our”) and the school or organization that creates an account (“Subscriber” or “you”). The individual who completes registration represents that they have authority to bind the Subscriber to these Terms. “Platform” means the MartialOps software, APIs, and related services accessible at martialops.app and associated subdomains.
2. Acceptance of Terms
By creating an account, clicking “Get started,” or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform. We may update these Terms from time to time; continued use after the effective date of any update constitutes acceptance.
3. Account Registration & Security
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@martialops.app if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of your credentials.
4. Subscription, Billing, and Refunds
The Platform is offered on a monthly subscription basis at the price displayed at signup, currently $49 per month per school location. Subscriptions automatically renew each month until cancelled. You authorize MartialOps to charge your payment method on file at the start of each billing period. Fees are non-refundable except as required by law or as expressly stated in a separate written agreement. You may cancel at any time; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days advance notice by email.
5. School Operator Obligations
As a Subscriber, you are the data controller for student and member information you enter into the Platform. You are responsible for: (a) obtaining all necessary consents from students, parents, or guardians before entering their data; (b) obtaining verifiable parental consent before entering data for any student under 13 years of age, as required by the Children’s Online Privacy Protection Act (COPPA); (c) ensuring your use of the Platform complies with applicable federal, state, and local laws; and (d) maintaining accurate records and keeping your account information current.
6. Acceptable Use / Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law;
- Access or use the Platform from any country or territory subject to comprehensive U.S. sanctions administered by the Office of Foreign Assets Control (OFAC), including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
- Reverse engineer, decompile, or attempt to extract the source code of the Platform;
- Upload or transmit malware, spam, or any content that infringes the rights of any third party;
- Resell, sublicense, or otherwise make the Platform available to third parties without our written consent;
- Interfere with or disrupt the Platform or its infrastructure.
7. Data Handling and Privacy
Please review our Privacy Policy for details on how we collect and process data. MartialOps acts as a data processor with respect to student and member data entered by Subscribers, and Subscribers act as data controllers. We process such data only as instructed by you and as described in the Privacy Policy.
8. Intellectual Property
MartialOps and its licensors own all right, title, and interest in the Platform, including all software, designs, trademarks, and content we create. These Terms do not transfer any ownership rights to you. You retain all rights to the data you enter into the Platform (“Subscriber Data”). You grant MartialOps a limited license to store, process, and display Subscriber Data solely to provide the Platform to you.
9. Disclaimers of Warranty
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARTIALOPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. IN NO EVENT SHALL MARTIALOPS’S TOTAL LIABILITY TO YOU EXCEED THE FEES YOU PAID TO MARTIALOPS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless MartialOps and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your Subscriber Data; (c) your violation of any applicable law or third-party right; or (d) any claim by a student, parent, or guardian arising from your failure to obtain required consents.
12. Termination
Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, your right to use the Platform ceases immediately. We will make your Subscriber Data available for export for 30 days following termination, after which it will be deleted.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall first be submitted to informal negotiation by contacting us at legal@martialops.app. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Delaware. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
14. Changes to Terms
We may modify these Terms at any time. If changes are material, we will provide at least 30 days’ notice by email before the new terms take effect. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
15. Contact / Notice Provisions
Legal notices: legal@martialops.app. Notices to you will be sent to the email address associated with your account. Notices are deemed received 24 hours after sending for email.
16. Severability / Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and MartialOps regarding the Platform and supersede all prior agreements or understandings. No waiver of any provision shall be effective unless in writing.
